Currently, we are seeking qualified candidates for Legal Counsel, M&A/Corporate Governance.  

    

What You Will Do

  • Subject Matter Expertise:  

    • Assist in development of business and deal strategy for global M&A transactions and advise management regarding transaction risks, requirements and status

    • Support all aspects of global M&A transactions including negotiation, diligence and closing

    • Advise management on legal issues under federal securities law, compliance with NYSE listing standards, Delaware law,  corporate governance regulations, and company policies

    • Prepare/review SEC filings and other disclosures

    • Support corporate finance/treasury transactions

  • Business Partner:

    • Partner with and provide legal support to the Corporate Strategy and Business Development function in connection with M&A opportunities and competitive intelligence initiatives.

    • Advise and collaborate with Corporate Center functions including Finance, Treasury, Risk Management, Investor Relations, HR/Benefits, and Executive Compensation groups in connection with corporate legal matters.

  • Management Skills:  

    • Assist in development of processes and tools to drive quality and efficiency for key workstreams

    • Develop and administer effective legal training and practical guidelines to business partners in the areas of confidentiality, antitrust, corporate governance, contracts, and other relevant areas    



Qualifications - What You Need To Succeed

 

Education:

  • Law Degree required

 

Leadership Skills:

  • Strong interpersonal and leadership skills in order to inspire followership globally

  • Strong judgment and attention to confidentiality in sensitive situations

  • Ability to resolve issues effectively, diplomatically and efficiently

 

Technical Skills:

  • At least three(3) years of M&A transactions experience, with specific experience in public and private transactions preferred and securities law and corporate governance issues

 

Business Skills:

  • Superior intellect, with the ability to think critically and make clear and well-reasoned decisions; ability to see and handle more than the legal issues of a project; strong, pragmatic business acumen with the ability to recognize the business consequences of legal advice; a strategic and innovative thinker who can bring value to his or her clients and find creative solutions to complex legal problems

  • Outstanding interpersonal skills and the ability to communicate (both orally and in writing) and interact effectively at all levels of an organization; ability to identify critical issues and convey them in a manner that is useful to the client

 

Process/Project Management Skills:

  • Ability to prioritize and manage a large volume of concurrent projects
